WHEREAS, the Licensor is the sole and exclusive owner of certain proprietary software, source code, scripts, designs, documentation, data models, development tools, and associated materials (“Licensed Materials”) made available through its GitHub organization “Bikefixup”; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows: ---------------------------------------------------- ARTICLE I – PROHIBITION OF ACCESS AND USE ---------------------------------------------------- 1.1 The Licensed Materials are proprietary and confidential information of the Licensor. Any form of access, viewing, reproduction, use, download, copy, modification, distribution, sublicensing, reverse engineering, decompilation, publishing, or interaction with the Licensed Materials is strictly prohibited unless explicitly authorized by a written agreement signed by a duly authorized officer of the Licensor. 1.2 In the absence of a publicly published open-source license or express written permission, no rights are granted to the Licensee. ---------------------------------------------------- ARTICLE II – NON-DISCLOSURE AND CONFIDENTIALITY ---------------------------------------------------- 2.1 The Licensed Materials are deemed trade secrets of the Licensor and are protected under applicable intellectual property laws. Unauthorized disclosure, sharing, or publication of the Licensed Materials constitutes a material breach of this Agreement and may give rise to civil and criminal penalties under Indian law. ---------------------------------------------------- ARTICLE III – INTELLECTUAL PROPERTY OWNERSHIP ---------------------------------------------------- 3.1 All intellectual property rights, including but not limited to copyrights, design rights, and trade secrets, shall remain exclusively vested in the Licensor. No provision of this Agreement shall be construed as granting any license, ownership, or usage right, express or implied, to the Licensee. ---------------------------------------------------- ARTICLE IV – WARRANTY DISCLAIMER ---------------------------------------------------- 4.1 The Licensed Materials are provided "AS IS" and "AS AVAILABLE", without any warranties of any kind. The Licensor expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. ---------------------------------------------------- ARTICLE V – LIMITATION OF LIABILITY ---------------------------------------------------- 5.1 Under no circumstances shall the Licensor, its affiliates, officers, directors, agents, employees, or licensors be liable for any damages, whether direct, indirect, incidental, consequential, special, exemplary, or punitive, arising from or relating to the use or misuse of the Licensed Materials. ---------------------------------------------------- ARTICLE VI – FUTURE SCOPE ---------------------------------------------------- 6.1 This Agreement shall extend to and govern all present and future repositories, branches, modules, codebases, tools, and assets created or managed under the GitHub organization “Bikefixup”, unless superseded by a separate executed agreement. ---------------------------------------------------- ARTICLE VII – TERMINATION ---------------------------------------------------- 7.1 Any violation of the terms of this Agreement shall result in the immediate termination of all inferred or assumed rights, and the Licensor reserves the right to pursue all legal remedies, including but not limited to civil damages and criminal prosecution under the Information Technology Act, 2000 and the Indian Penal Code, 1860. ---------------------------------------------------- ARTICLE VIII – GOVERNING LAW AND JURISDICTION ---------------------------------------------------- 8.1 This Agreement shall be governed and construed in accordance with the laws of the Republic of India.
